What AppDeal does, what it does not do, and what it charges for.

Draft, pending review. This document has not been reviewed by a lawyer. It describes accurately what the software does today, and it is not a contract. The highlighted sections must be completed before AppDeal takes any payment.

What AppDeal is

A place to find and evaluate apps and SaaS businesses that are for sale. AppDeal reads revenue from the analytics provider a seller connects, publishes what it read and what it could not, and introduces buyers to sellers.

What AppDeal is not

It is not a party to your sale. The contract is between buyer and seller. AppDeal does not act as broker, agent or adviser to either.

It never holds your money. The price is paid through an escrow provider or a lawyer the two of you appoint, and never passes through AppDeal. Taking custody of other people’s funds is a licensed activity that AppDeal is not licensed for and does not attempt.

Verification is not a guarantee. A verified figure means AppDeal read that number from a stated source over a stated window. It does not certify profit, banked cash, the number of people behind the figures, the code, the legal position, or that the business will keep earning. Profit is always the seller’s own statement, because revenue can be read from a payment provider and costs cannot.

Do your own diligence. Nothing on AppDeal is investment or legal advice.

If you sell

You confirm you own what you are listing and may transfer it. Figures you state yourself are labelled as yours, and must be true — knowingly false figures get the listing withdrawn and the account closed.

You choose which figures to publish. Withholding one is fine and is shown as withheld; publishing a number you know to be wrong is not.

If you buy

An offer is not binding until both sides sign whatever contract they agree. It commits you to nothing beyond what you wrote in it, and AppDeal will not put a deal to a closing until your identity is verified.

What it costs

Browsing, listing a business and receiving offers are free. AppDeal charges [commission rate] once a transfer completes, invoiced to the seller — a sale that falls through costs nothing.

Featured placement is sold separately at a published price. It buys a labelled slot beside search results for a set number of days. It does not change organic ranking, and it cannot affect any badge or figure: nothing a seller pays for is a ranking signal anywhere on AppDeal.

Moderation

A listing can be withdrawn if ownership cannot be shown, if figures are contradicted by evidence, or if it breaks these terms. A verified badge is withdrawn automatically when the connection behind it goes stale — no one has to decide that.

Anyone with an account can report a listing. Reporting does not take a listing down; a moderator decides, and the decision, its author and its reason are recorded.

The rest

AppDeal is provided as is, and its liability is limited to the fees you paid it in the previous twelve months, to the extent the law allows. These terms are governed by [governing law], and disputes go to [competent courts].
